VIMA Care terms and conditions

1. Identity

These terms and conditions apply to all services offered by:

Trading under the name “VIMA” or “VIMA Care”.

2. Definitions

• VIMA: the practice management software developed by Saasbuilders BV.
• User: any natural or legal person who uses the website or services of VIMA.
• Services: all services offered by VIMA, including the software, the website, demos and support.

3. Scope

These terms apply to:

• Use of the website vima.care
• Participation in the “Doe mee” programme
• Demo requests
• Future use of the VIMA software (which may be subject to additional terms)

4. “Doe mee” programme

4.1 Purpose

The “Doe mee” programme allows interested healthcare providers to:

• Request a demo of VIMA
• Give feedback on its development
• Contribute ideas on features

4.2 No obligations

Participation in the programme creates no obligations. You are free to stop participating at any time.

4.3 Feedback and ideas

Feedback, suggestions and ideas that you share as part of the programme may be used by VIMA for the further development of the software. You retain no intellectual property rights in general ideas or suggestions.

5. Storage and reasonable use

Use of the VIMA software includes unlimited storage of the data you process in VIMA in the normal course of running your practice, such as patient records, photos, reports and documents.

Unlimited storage is subject to reasonable use. Use is no longer reasonable when the storage volume is substantially and structurally higher than that of a comparable practice, or when VIMA is used for storage unrelated to running the practice (such as general backups, private files or media libraries).

If Saasbuilders BV finds that the use is not reasonable, it will first contact you to look for a solution together. If no solution is found within sixty (60) calendar days, Saasbuilders BV may propose an additional fee that is in line with the market and transparent. That fee will be communicated to you by email at least thirty (30) calendar days before it takes effect. If you do not accept it, you may cancel your subscription free of charge before it takes effect.

Saasbuilders BV will never delete your data or make it inaccessible because of the storage volume. You can export your data at any time.

6. Intellectual property

All intellectual property rights in the website, software, texts, images and other materials belong to Saasbuilders BV or its licensors. Nothing in these terms transfers any intellectual property right.

7. Liability

7.1 Website

The information on this website is provided in good faith. We aim to provide correct and up-to-date information, but give no guarantees.

7.2 Limitation

The liability of Saasbuilders BV is limited to the amount paid out in the specific case by our liability insurance. In the absence of insurance cover, liability is limited to the amount of the fees paid by the user to VIMA in the 12 months preceding the event giving rise to the damage, up to a maximum of €1,000.

7.3 Exclusions

Saasbuilders BV is not liable for:

• Indirect damage, consequential damage or loss of profit
• Damage caused by force majeure
• Damage caused by incorrect or unlawful use

8. Force majeure

We are not liable for any failure to perform caused by force majeure, including: internet connection failures, power outages, strikes, government measures, pandemics and other circumstances beyond our reasonable control.

9. Governing law and disputes

These terms are governed by Belgian law. Disputes shall be submitted exclusively to the competent courts of the district of East Flanders, Ghent division.

10. Changes

We reserve the right to change these terms. Changes take effect once published on the website. Existing agreements remain subject to the terms that applied when the agreement was concluded, unless the user agrees to the new terms.

11. Invalidity

If any provision of these terms is declared void or unenforceable, the remaining provisions remain fully in force. The void provision shall be replaced by a valid provision that comes as close as possible to the purpose and intent of the original provision.
